Our client, a prominent AmLaw 50 global law firm, is seeking an experienced Complex Credit and Insurance Solutions Associate Attorney. This position offers a unique opportunity to work with a market-leading team that supports global asset managers and private fund sponsors on innovative fund formation, complex credit structures, and compliance matters, helping clients navigate the evolving landscape of complex credit and insurance solutions.


 


Candidate Profile:




  • JD from a top-tier law school with a strong academic record.


  • Active Bar Admission in Pennsylvania.


  • 4–6 years of substantive experience in complex credit fund formation and insurance solutions for private fund sponsors.

  • Proven experience with private fund formation, including drafting and negotiating critical fund documentation (e.g., private placement memoranda, fund agreements, subscription agreements, advisory and placement agreements, regulatory filings).

  • Familiarity with structured credit funds, such as rated note funds and captive CLO equity manager originator structures.

  • Ability to manage fund raises from launch through close, including client interface, investor negotiation (side letters, subscription documentation), and closing mechanics.

  • Knowledge of the Investment Advisers Act, Regulation D requirements, and relevant exemptions to the Investment Company Act is helpful.


  • Prior experience in a large law firm setting is required.


 


Key Responsibilities:



  • Provide counsel on structuring and forming complex credit private funds and structured credit funds, advising on compliance and distribution for a variety of global asset managers and sponsors.

  • Lead the preparation, drafting, and negotiation of essential fund documents and regulatory filings, ensuring alignment with federal securities laws and industry standards.

  • Collaborate with private funds and structured products specialists to stay updated on regulatory changes, attend key industry meetings, and contribute to client advisories.

  • Assist clients in navigating post-establishment compliance requirements and identifying strategic opportunities for growth in structured credit and insurance solutions.

  • Act as a pivotal team member in the due diligence, documentation, and execution of complex fund transactions, managing investor negotiations and project timelines to completion.
